The Korean version of these terms is the authoritative one; this English version is a translation.
1. Purpose
These terms set out the rights, duties and responsibilities between ValueFormer (the "Company"), its Customers and Users in the use of the LabelFormer service (the "Service").
2. Definitions
- "Service" means the Company's web service for managing packaging label copy and rules, and its add-ons for design tools.
- "Customer" means a company or organisation that has a contract with the Company to use the Service.
- "Organization" means the separate space in the Service that belongs to one Customer. Labels, templates, the plan and invoices belong to the Organization.
- "User" means a person with an account in the Service who is a member of one or more Organizations.
- "Content" means everything Customers and Users enter or upload: label copy, rules, proof images, fonts and other material.
- "Proof image" means the image of each artboard that the design-tool add-on sends to the Service as the record of the artwork. The Company does not receive or store the design files themselves.
- "Base templates" means the starting material the Company provides per market and product category: mandatory items, rules, nutrition formats and the like.
- "Label in use" means a label in an Organization that is not archived.
3. Effect, changes and notices
- These terms take effect when published on the Service's website.
- Where the Company and a Customer sign a separate contract or order form, it prevails over these terms where the two differ.
- The Company may change these terms within the law, announcing changes 7 days before they take effect (30 days for changes unfavourable to Customers). A Customer that does not agree may end its contract.
- The Company sends notices by email to the Organization's administrators and billing contact, or shows them in the Service.
4. The contract
A contract is formed in one of two ways.
- Online sign-up. A person signs up on the Service's website and accepts these terms and the Privacy Policy by ticking a box. The person signing up confirms that they may act for their company, and concludes the contract on its behalf; the company is the Customer. The Company records which versions were accepted, and when.
- By quotation. The Customer applies and the Company issues a quotation or order form. The contract is formed when the Customer accepts it; scope, fees and term follow that document, and the Company sets up the Organization.
Users are added by invitation from an Organization's administrator and accept these terms when they accept the invitation. One person may belong to several Organizations, with a separate role in each. A User acts for the Customer whose Organization they are working in, and that Customer is responsible for their use of the Service.
5. Trial
- An Organization created by online sign-up starts with a free trial of 30 days, with up to 10 labels (archived labels count).
- A trial never turns into a paid plan by itself. It becomes paid only when the Customer chooses a plan and pays.
- The Company sends reminders 7 days and 1 day before the trial ends.
- If no plan has been paid for when the trial ends, the Organization becomes read-only: Users can sign in, open labels and download them, but cannot create labels, edit, draw or publish.
- If no plan has been paid for 30 days after the trial ends, the Organization is closed (with an email 7 days before), and section 15 applies to its data.
- Paying for a plan before the Organization is closed restores everything.
6. The Service and changes to it
- The Company provides the features described on the Service's website, such as managing label copy and rules, connecting design tools and reporting checks against rules.
- The design files stay with the Customer. The add-on sends the Service only label data and proof images.
- The Company may add or change features to improve the Service, and announces in advance any change that materially affects Customers.
- The Company may suspend the Service temporarily for maintenance, incidents or equipment changes, announcing planned suspensions in advance.
7. Plans and fees
- Plans and prices are shown on the Service's website or set in the quotation. Prices are in Korean won (KRW) or US dollars (USD); the contract's currency is the one the Customer pays in. The number of Users is not limited.
- Fees are for the number of labels in use that the plan includes for each contract year. The Company counts each Organization's labels in use every day; the highest count in the contract year is the number billed. The Service shows the current count.
- Going over the included number never blocks the Service. Labels in use above the included number are charged at the plan's price per extra label for that contract year, on the first invoice after the contract year ends.
- Fees are paid in advance, monthly or yearly, by card or against an invoice by the due date on the invoice.
- Prices do not include value-added tax. For Customers in Korea, VAT is added and the Company issues tax invoices. For Customers abroad, Korean VAT is added at the rate the law sets for the supply, which may be zero; taxes, duties and withholding in the Customer's own country are borne by the Customer, and if the Customer must withhold tax from a payment, it pays enough that the Company receives the full fee.
- A change of price is announced at least 30 days in advance and applies from the next renewal.
- If a Customer does not pay on time, the Company may restrict use of the Service after notice.
8. Renewal and cancellation
- A paid plan renews automatically at the end of each period (a month or a year) for the same period, unless it is cancelled.
- A Customer's administrator can cancel renewal at any time in the Organization's settings, or by emailing support@labelformer.com. The plan then runs to the end of the period already paid for and does not renew.
- For a contract by quotation, renewal and notice follow that contract.
9. Refunds
- Fees for a period that has begun are not refunded, and cancelling renewal does not end the current period early.
- If the Company ends a contract for reasons not attributable to the Customer, or cannot provide the Service for reasons attributable to the Company, it refunds the prepaid fees for the remaining full months.
- Where the law gives the Customer a further right to withdraw or to a refund, that right applies.
10. Obligations of Customers and Users
- Keep account details secure, and do not share accounts.
- Do not:
- upload content that breaks the law or infringes others' rights;
- reverse-engineer, disassemble or try to obtain the Service's source code;
- try to access other Organizations or systems without authorisation;
- overload the Service or disrupt its normal operation;
- resell or provide the Service to third parties without the Company's consent.
11. Rights in Content
- Rights in Content belong to the Customer.
- The Company uses Content only as needed to provide, maintain and support the Service, never for other purposes, and does not provide it to third parties.
- The Customer warrants that it has the right to use in the Service any third-party material it uploads, such as fonts and images.
12. The nature of regulatory information
- Base templates and the rules and legal citations in them are a starting point to help the Customer's work, not legal advice. The Company reflects the law as well as it can but does not guarantee its accuracy or currency.
- Customers may modify base templates in their own Organization. The final check that a label complies with the law, and the responsibility for it, rest with the Customer.
- The Service's check results are an aid measured against the rules the Customer has set; they do not guarantee that a label is lawful.
13. Intellectual property and confidentiality
- Rights in the Service and its software, design and base templates belong to the Company. The Customer may use the Service under these terms for the term of its contract.
- The Company and the Customer will not disclose to third parties, without consent, the other's business secrets learned in connection with the contract, except where the law requires disclosure.
14. Personal information and liability
- The Company processes personal information under its Privacy Policy.
- The Company is not liable for losses arising without its intent or negligence, such as natural disasters, causes attributable to the Customer, or outages of third-party services.
- Where the Company is liable, except for its intent or gross negligence, its liability is limited to the fees the Customer paid in the 12 months before the loss, and excludes indirect losses and lost profits.
15. Ending the contract, and data
- A Customer ends its contract by cancelling renewal (section 8), or as its contract by quotation provides.
- The Company may end a contract if the Customer materially breaches these terms or its contract and does not remedy the breach within a reasonable period after notice.
- When a contract ends, the Organization is closed. The Company destroys without delay the identifying details (email address, name and the like) of Users who belong to no other Organization, and keeps the Content for 30 days.
- Within those 30 days the Customer may ask for the Service to resume, or for its Content to be returned. The Company then provides an export of the Organization's labels, their copy and versions, and the proof images. Design files are never held by the Company, so they remain with the Customer.
- After 30 days the Company destroys the Customer's data, except information the law requires it to keep (such as billing records).
16. Governing law and courts
These terms are governed by the laws of the Republic of Korea. The Seoul Central District Court has exclusive jurisdiction at first instance over disputes about the Service.
